Terms of Service

Template notice. This Terms of Service document is a starting template supplied with the Proxaro site scaffolding. Have it reviewed by a qualified lawyer in your jurisdiction before you launch any real proxy service against it. Proxy-service T&Cs have specific case law under the Computer Fraud and Abuse Act and the BOTS Act that this template cannot fully address.

1. Acceptance

By accessing, purchasing, or using the services provided by Proxaro Networks LLC, a Delaware limited liability company with its registered address at 251 Little Falls Drive, Wilmington, DE 19808, USA ("Proxaro", "we", "us"), you ("Customer", "you") agree to be bound by these Terms of Service ("Terms"). If you are using the services on behalf of a legal entity, you represent that you have authority to bind that entity.

2. Service description

Proxaro operates a US-focused IP proxy network, providing rotating and static residential, ISP, and mobile (4G/5G) exit classes announced from real US residential and carrier autonomous systems. The service is accessed via authenticated gateways and billed per the pricing displayed at checkout.

3. Permitted use

You may use the service only for lawful purposes and in accordance with our Acceptable Use Policy. You are solely responsible for the content transmitted through the gateway and for compliance with all applicable United States federal and state laws, together with the laws of any jurisdiction in which the target resource resides.

4. Prohibited use

You may not use the service for, without limitation: unauthorized access to computer systems in violation of the Computer Fraud and Abuse Act (18 U.S.C. § 1030); circumvention of primary-ticketing access controls in violation of the Better Online Ticket Sales Act (Pub. L. 114–274); distribution of malware or spam; targeting of minors; violation of third-party intellectual property; or any activity prohibited by our Acceptable Use Policy.

5. Fees, billing, and refunds

Fees are payable in advance for the billing cycle selected at checkout in United States Dollars. Overage charges accrue at the per-GB rate published for your plan. Refunds are governed by our Refund Policy, which is incorporated by reference into these Terms.

6. Account suspension

We may suspend or terminate your account immediately, with or without notice, if we reasonably believe you are in material breach of these Terms, the Acceptable Use Policy, or applicable law.

7. Warranty and liability

The service is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied. To the maximum extent permitted by law, Proxaro's aggregate liability under these Terms is capped at the fees paid by you in the twelve (12) months preceding the event giving rise to the claim. In no event shall Proxaro be liable for indirect, incidental, special, consequential or punitive damages.

8. Indemnification

You agree to indemnify and hold Proxaro harmless from any third-party claim arising out of your use of the service in violation of these Terms or applicable law.

9. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The state and federal courts located in Wilmington, Delaware have exclusive jurisdiction over any dispute arising from or related to these Terms, and each party consents to personal jurisdiction in those courts.

10. Changes

We may update these Terms from time to time. The current version is always available on this page; the "updated" date above is authoritative.
